The Sonic Healthcare Board of Directors is comprised of individuals experienced in public company management and stewardship. As a group, they bring to the company a broad skill base encompassing medical, financial, legal, management and corporate areas. In view of the fact that Sonic Healthcare specialises in providing medical diagnostic services, the Board is committed to ensuring that its membership includes pathologists and radiologists.

Mr Patterson is an engineer and has a corporate mining background, but in more recent years has held directorial positions in a number of public and private companies. Mr Patterson is considered by the Board to be an independent director and is the Chairman of both the Remuneration Committee and the Nominations Committee, and is a member of the Audit Committee. Mr Patterson is currently Chairman and a non-executive director of Silex Systems Limited (since 1992). Mr Patterson was formerly a non-executive director of National 1 Limited from June 2003 to July 2004.

Dr Goldschmidt became the Managing Director of Sonic Healthcare Limited and its subsidiaries in 1992, prior to which he was the Medical Director of Douglass Hanly Moir Pathology. He joined the company after completing his Australian Pathology Fellowship training in Sydney in 1986. Dr Goldschmidt is a member of the Risk Management Committee and the Nominations Committee.

Mr Wilks is a management consultant with a background in chartered accounting and investment banking. He was previously a partner in a private merchant bank and has held positions on the boards of a number of public companies. Mr Wilks has been a director of Sonic Healthcare since 1989. Mr Wilks is a member of the Risk Management Committee.

Mr Peter Campbell

Mr Campbell is a Chartered Accountant with his own practice based in Sydney. Mr Campbell is also the Chairman of LifeCare Limited, a listed public company operating in the physiotherapy field. He is a Fellow of both the Institute of Chartered Accountants in Australia and the Taxation Institute of Australia and is a registered Company Auditor. Mr Campbell is the Chairman of the Audit Committee and a member of the Remuneration Committee and the Nominations Committee.

Dr Philip Dubois

(Radiologist)

Dr Dubois is the Chairman and CEO of Queensland X-Ray, and is chairman of the Sonic Imaging Executive Committee. A neuroradiologist and nuclear imaging specialist, he is currently an Associate Professor of Radiology at the University of Queensland Medical School. He has served on numerous government and craft group committees, including the Diagnostic Economic Committee; the Council of the Royal Australian and New Zealand College of Radiologists (RANZCR); and the Diagnostic Imaging Management Committee. He is currently Treasurer of the Australian Diagnostic Imaging Association (ADIA); a Councillor and the Radiology Craft Group Representative of the Australian Medical Association (AMA); and a member of the Nuclear Imaging Consultative Committee. Dr Dubois is a member of the Risk Management Committee.

Mr Jackson is a shareholder and director of Sonic Healthcare, and was until recently the Chief Executive Officer of Diagnostic Services Pty Ltd. Mr Jackson is a Fellow of the Australian Society of Certified Practising Accountants, and the Taxation Institute of Australia, and a member of the Institute of Chartered Accountants in Australia. His background is in professional accounting practice as well as the management of Diagnostic Services Pty Ltd. Mr Jackson has had many years of high level, active involvement in the pathology industry; including those as Vice President of the Australian Association of Pathology Practices.

Dr Hugh Scotton

Dr Scotton trained in radiology in Adelaide and Brisbane, prior to entering private practice in the Hunter Valley in 1972. In 1999 he was elected Chairman of Pacific Medical Imaging; incorporating radiology groups in the Hunter, Sydney and Illawarra.

Mr Lou Panaccio

Mr Panaccio is a chartered accountant with strong management experience in business and healthcare services. He is currently Chairman of CPW Group, a Director of the Inner Eastern Community Health Service in Victoria, Executive Chairman of Health Networks Australia, and a Director of Primelife Corporation Limited. Mr Panaccio was the Chief Executive Officer and an Executive Director of the Melbourne Pathology Group for ten years to 2001. Mr Panaccio is a member of the Audit Committee.
